Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Anchor Angels, a 501(c)(6) member-based professional association based in Nashville, Tennessee (“Anchor Angels”, “we”, “us”). They govern your use of anchorangels.com, the member platform, our emails and the Anchor Angels connector for Claude (together, the “Services”).

By creating an account, submitting an application or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services for an organization, you confirm you can bind it to these Terms. Our Disclaimers also apply and are part of these Terms.

You must be at least 18 and able to form a binding contract to use the Services. Membership is open to people with a connection to the Vanderbilt community, and we decide which applications to accept.

If you join as an investor, you represent that you are an “accredited investor” as defined in Rule 501 of Regulation D under the U.S. Securities Act of 1933, that the accreditation information you give us is true, and that you will tell us promptly if it stops being true. We may ask you to verify your status, and companies may require their own verification before accepting an investment.

Anchor Angels is organized as a 501(c)(6) member-based professional association. We do not invest as a club. Companies present to members, and members independently choose whether to pursue investments outside of the organization. A clear legal firewall separates organizational activities (programming, education and founder support) from individual investment decisions. We are not a broker-dealer, investment adviser, funding portal or fund, and we do not pool member money or invest on members’ behalf.

• Nothing in the Services is investment, legal, tax or financial advice, or a recommendation to buy or sell any security.
• Nothing in the Services is an offer to sell, or a solicitation of an offer to buy, any security. Any investment is made directly between a member and a company, under that company’s own documents.
• Each member makes their own investment decisions, does their own due diligence and should consult their own advisers. Early-stage investments are high risk and illiquid, and you can lose your entire investment.
• Scorecards, committee votes, stage labels and other assessments are internal tools to organize review. They are not endorsements.

Accounts have a role (such as investor, associate, founder, committee member or staff) that determines what you can see and do. You agree to give accurate information, keep your password and any connected apps secure, and not share your account. You are responsible for activity under your account. Tell us right away at hello@anchorangels.com if you think your account has been misused.

We may change a role, limit access or suspend an account to protect the network, for example if eligibility information is inaccurate.

Some memberships require a paid subscription. Checkout, billing and payment are handled by our payment processor, Polar, and your payment is also subject to Polar’s terms.

• Subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel before renewal.
• You can cancel at any time from the billing section of your dashboard or by contacting us. Cancellation takes effect at the end of the current billing period, and you keep access until then.
• Annual memberships are non-refundable once the term begins, except where required by law. Cancelling stops renewal at the end of the paid period.
• We may change prices with notice before your next renewal. If you do not agree, you can cancel before the new price applies.
• If a payment fails, we may pause paid features until it succeeds.

Founders keep ownership of their applications, pitch decks, data room documents and other materials (“Founder Content”). By submitting Founder Content, you grant Anchor Angels a non-exclusive, royalty-free license to host, store, copy, process and display it, and to share it with our staff, committee and members, for the purpose of reviewing your company and presenting it within the network. This includes processing by the AI features described below.

You confirm that you have the right to share the Founder Content, that it is accurate and not misleading to the best of your knowledge, and that sharing it does not breach any confidentiality or other obligation. The license ends when you ask us to remove the content, except for copies already shared with members or kept in our records as described in the Privacy Policy.

Deal materials, data room documents, scorecards, votes, notes and discussions in the Services are confidential. If you have access to them, you agree to:

• use them only to evaluate the company within Anchor Angels activities;
• not share, publish or forward them outside the network without the founder’s or our permission; and
• not download, copy or scrape them beyond what the Services allow.

Share links may be created only for legitimate review of a deal. Anyone who opens a share link must keep its contents confidential and use them only for that review. Links may require an email or password, expire, block downloads and record views, and the person who created a link is responsible for who they send it to.

You agree not to:

• break the law or infringe anyone’s rights;
• misrepresent your identity, accreditation, company or financial information;
• access data you are not authorized to see, or try to get around role, billing or share-link restrictions;
• probe, scan or disrupt the Services, or upload malware;
• scrape the Services or use automated means to extract data, except through connections we provide, such as the Claude connector;
• use member or founder information to solicit, spam or market to people outside of Anchor Angels activities; or
• harass, threaten or discriminate against anyone.

The Services include AI features such as deal scorecards, document extraction and search, deal chat and research agents. These features send content to third-party AI providers as described in the Privacy Policy.

AI output is generated automatically, can be incomplete or wrong, and may present unverified claims as facts. It is a starting point for human review, not investment advice or a statement of fact by Anchor Angels. Check anything that matters against source documents before relying on it.

If you connect Claude or another MCP client to your account, that client acts on your behalf with the same access you have in the app. You are responsible for what you ask it to do and for how you use the information it returns, which remains subject to the confidentiality terms above. Use of Claude is governed by your agreement with Anthropic. You can disconnect an app at any time from your profile.

The Services rely on and link to third-party services, including Google sign-in, Polar payments and the AI and research providers named in the Privacy Policy. Their terms and policies apply to your use of them, and we are not responsible for them. Company websites, deal documents and other content supplied by founders are the responsibility of those founders.

We own the Services, including the software, design, brand and our own content. We grant you a limited, revocable, non-transferable right to use the Services for their intended purpose under these Terms. If you send us feedback, we may use it without obligation to you.

You can stop using the Services and ask us to close your account at any time. We may suspend or end your access if you breach these Terms, if your eligibility changes, or if we stop offering the Services. Sections that by their nature should survive (including confidentiality, founder content licenses for material already shared, disclaimers, limitation of liability and governing law) survive termination.

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that information provided by founders, members, AI features or third parties is accurate or complete.

To the fullest extent permitted by law, Anchor Angels and its organizers, volunteers and service providers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any investment losses, lost profits or lost data, arising from or related to the Services or any investment decision.

Our total liability for any claim related to the Services is limited to the fees you paid Anchor Angels in the 12 months before the claim. Some jurisdictions do not allow these limits, so they may not fully apply to you.

You agree to indemnify Anchor Angels against claims arising from your breach of these Terms or your misuse of the Services.

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of laws rules. Any dispute will be resolved in the state or federal courts located in Davidson County, Tennessee, and you and we consent to their jurisdiction.

We may update these Terms. We will post the new version here with a new “Last updated” date and, for material changes, tell members by email or in the platform before they take effect. Continuing to use the Services after that means you accept the updated Terms.
